Inquire About Company & LLP Setup
Senior Chartered Accountants will review your case with complete confidentiality.
Company registration is the process of incorporating a business with the Ministry of Corporate Affairs (MCA), which issues a Certificate of Incorporation with a Corporate Identity Number (CIN), along with the company's PAN and TAN. In India, online company registration is done through the SPICe+ form on the MCA portal for companies, and the FiLLiP form for LLPs. IMAK Advisory, an ICAI-registered CA firm in Bengaluru, handles company registration for founders, families and foreign investors across India – private limited companies, one person companies, Section 8 companies and LLPs.
Most problems after incorporation come from decisions made before it: the wrong structure for the business, a name that later clashes with a trademark, capital that does not match the plan, or a missed deadline in the first six months. This page explains how to choose between an LLP and a pvt ltd company, what a pvt ltd company is, the ROC company registration process step by step, Section 8 company registration for non-profits, the ROC filing due date for a pvt ltd company after incorporation, and key terms such as the date of incorporation.
- Private limited company and one person company (OPC) registration
- LLP registration and LLP agreements
- Section 8 company registration for charitable and non-profit purposes
- Name availability and trademark checks before filing
- PAN, TAN, GSTIN, EPFO, ESIC and bank account through linked forms
- First-year compliance: first auditor, share certificates, commencement of business, registers

Choosing the Right Structure
The structure decides liability, tax, compliance and how easily you can raise money later. Choose it for the business you expect to run in three to five years, not only for the first month.
| Point | Private limited company | One person company | LLP | Section 8 company |
|---|---|---|---|---|
| Owners | 2 to 200 members | 1 member | 2 or more partners | 2 or more members |
| Liability | Limited to shares | Limited to shares | Limited to agreed contribution | Limited |
| Raising equity and ESOPs | Yes | Limited | No equity shares or ESOPs | Not for profit |
| Profit distribution | Dividends | Dividends | Profit share | Not allowed |
| Annual audit | Always | Always | Only above limits | Always |
| Typical use | Startups, growing businesses, funded companies | Single founders | Professional firms, family businesses | Charities, NGOs, associations |
LLP vs Pvt Ltd Company: Which Should You Choose?
The LLP vs pvt ltd company decision is the one we discuss most with founders. Both give limited liability; the difference is in funding, tax and compliance.
| Point | LLP | Private limited company |
|---|---|---|
| Law | Limited Liability Partnership Act, 2008 | Companies Act, 2013 |
| Investors and venture capital | Rarely invest; no equity shares | Preferred structure for investors |
| ESOPs for employees | Not possible | Possible |
| Income tax | Flat rate on profits; partners' share of profit not taxed again | Company rate on profits, with lower rates available on conditions; dividends taxed in shareholders' hands |
| Audit | Only if turnover exceeds ₹40 lakh or contribution exceeds ₹25 lakh | Every year |
| Annual filings | Form 11 and Form 8 | AOC-4, MGT-7 or MGT-7A, and others |
| Foreign investment | Allowed only in sectors open to 100% automatic-route investment without conditions | Allowed in most sectors under the FDI policy |
| Transfer of ownership | Through changes in the LLP agreement | Through transfer of shares |
As a rule of thumb, choose a pvt ltd company if you plan to raise equity, give ESOPs or grow quickly; choose an LLP for professional practices, family businesses and joint ventures that will be funded by the partners themselves and want lighter compliance. An LLP can later convert into a company, but the move takes time and planning.
What Is a Pvt Ltd Company?
A pvt ltd company – short for private limited company – is a company whose articles restrict the transfer of shares, limit the number of members to 200 and prohibit inviting the public to subscribe to its shares. Its name must end with "Private Limited". It is a separate legal person: it owns assets, enters contracts and can sue or be sued in its own name, and the shareholders' liability is limited to the unpaid amount on their shares.
- Separate legal identity from its owners
- Perpetual existence, unaffected by changes in shareholders
- Board of directors managing the business, with shareholders approving key matters
- Easy entry of investors through new shares
- Mandatory annual audit and filings with the Registrar of Companies
Pvt Ltd in Kannada and Other Languages
Founders in Karnataka often ask for the term pvt ltd in Kannada. In everyday use it is written as ಪ್ರೈವೇಟ್ ಲಿಮಿಟೆಡ್ ಕಂಪನಿ, and the formal Kannada rendering is ಖಾಸಗಿ ನಿಯಮಿತ ಕಂಪನಿ. Whatever language you use in daily business, the registered name on the Certificate of Incorporation and all legal documents is the English name ending in "Private Limited".
Online Company Registration Process: Step by Step
Online company registration for a private limited company or OPC is done through SPICe+ (INC-32) on the MCA V3 portal. The steps below reflect the portal in November 2026.
- Get Digital Signature Certificates (DSC) for all proposed directors and subscribers.
- Check name availability against existing companies, LLPs and registered trademarks.
- File SPICe+ Part A to reserve the name; an approved name is valid for 20 days.
- Prepare the Memorandum of Association (e-MoA, INC-33) and Articles of Association (e-AoA, INC-34).
- File SPICe+ Part B with registered office, capital, directors and subscribers, with DIN applications for up to three new directors.
- File AGILE-PRO-S (INC-35) for GSTIN, EPFO, ESIC, professional tax where applicable, and the company bank account.
- Pay government fees and stamp duty online.
- Respond to any resubmission request from the Central Registration Centre.
- Receive the Certificate of Incorporation with CIN, PAN and TAN.
The ROC Company Registration Process Explained
The ROC company registration process is handled centrally: applications are processed by the Central Registration Centre on behalf of the Registrar of Companies (ROC) for the state of your registered office. If the registry asks for clarification, a resubmission is filed within the time allowed. Most delays come from name objections, mismatched documents or address proofs that do not meet the requirements.
Documents for Company Registration
- PAN and Aadhaar of Indian directors and shareholders; passport for foreign nationals
- Proof of address for each director: bank statement or utility bill not older than the period required
- Passport-size photographs
- Registered office proof: rent agreement or sale deed, a recent utility bill and the owner's no-objection letter
- Digital Signature Certificates of directors and subscribers
- Details of capital, shareholding and the main business activity
- For foreign shareholders: documents notarised or apostilled as required
For foreign directors and shareholders, documents usually need notarisation and apostille or consular attestation in their home country before filing. We send the exact list at the start so that this step does not hold up the application.
LLP Registration Process
- Get DSCs for designated partners.
- Reserve the name through RUN-LLP, or file the name with the incorporation form.
- File FiLLiP with partner details, registered office and contribution, with DIN applications for designated partners where needed.
- Receive the Certificate of Incorporation with LLPIN.
- Draft and sign the LLP agreement, and file it in Form 3 within 30 days of incorporation.
- Apply for PAN and TAN if not issued with incorporation, open a bank account and register for GST where required.
The LLP agreement is the most important document for an LLP. It sets out capital, profit sharing, decision-making, admission and exit of partners. A template agreement copied from the internet often leaves out exactly the clauses that matter when partners disagree.
One Person Company (OPC) Registration
A one person company lets a single founder have limited liability with just one member and one director. The member must be a natural person who is an Indian citizen, and must name a nominee who will become the member if the founder dies or becomes incapable. The nominee's written consent is filed with the incorporation form.
- Suits single founders who want limited liability but do not yet have a co-founder
- Lighter requirements: no annual general meeting, fewer board meetings and a simpler annual return
- Cannot carry on certain financial activities or invest in other bodies corporate in specified ways
- Converts into a private limited company when more members join or the founder chooses to
Many single founders start as an OPC and convert within a year or two once a co-founder or investor comes in. If that is already likely, starting directly as a private limited company with a second shareholder can save a conversion later.
Capital and Shareholding at the Start
Two numbers matter at incorporation. Authorised capital is the ceiling on the shares that can be issued without amending the memorandum; paid-up capital is what the founders actually pay in. Government fees and stamp duty depend mainly on authorised capital, so it should be set for the next stage of growth, not for an unlikely future.
- Agree the founders' split before filing; changing it later means share transfers or new allotments with their own filings
- Consider leaving room for an ESOP pool if you plan to hire key people
- Vesting of founder shares is set through a founders' agreement, not through the incorporation forms
- Pay in the subscription money promptly – the commencement of business declaration needs proof that it has been received
- Keep issue price, valuation and any foreign investment within the rules from the first allotment
For LLPs, the equivalent decision is the contribution of each partner and the profit-sharing ratio, both of which belong in the LLP agreement.
Section 8 Company Registration
Section 8 company registration is used for organisations formed to promote commerce, art, science, sports, education, research, social welfare, religion, charity, protection of the environment or similar objects, which apply their income only to those objects and do not pay dividends. A Section 8 company is registered through SPICe+ with a licence under Section 8 issued as part of the incorporation, and its name can end with words such as Foundation, Forum, Association or Council instead of "Limited".
- Minimum two directors and two members for a private Section 8 company
- Objects and non-profit restrictions written into the memorandum and articles
- Income-tax registration for exemption and for donors' deduction is applied for separately after incorporation
- Annual audit and ROC filings apply, as for any company
- Changes to objects or conversion need approval
For many charities a trust or society is simpler; a Section 8 company suits organisations that want stronger governance, corporate donors or a national presence.
After Incorporation: The First 180 Days
| Task | When | Notes |
|---|---|---|
| Open the bank account and deposit share capital | Immediately | Required before the commencement declaration |
| First board meeting | Within 30 days | Appoint first auditor, adopt common seal if any, open registers |
| Appoint first auditor | Within 30 days | Board appoints; ADT-1 filed |
| Issue share certificates | Within 60 days | Stamp duty on certificates as per state law |
| Declaration of commencement of business (INC-20A) | Within 180 days | Shows subscription money received |

| Startup India recognition and Udyam registration | Optional | Useful for tax and government benefits |
Registrations Linked to Incorporation
Several registrations can be applied for together with the incorporation form, and others follow as the business grows. Knowing which ones apply avoids penalties in the first year.
| Registration | When it applies |
|---|---|
| PAN and TAN | Issued with the Certificate of Incorporation |
| GST | Above the turnover threshold, or from the first sale in cases such as inter-state supply of goods or e-commerce sales |
| EPFO (provident fund) | Generally once the business employs 20 or more people |
| ESIC (employee insurance) | Generally once it employs 10 or more people in covered areas |
| Professional tax | In states that levy it, such as Karnataka and Maharashtra |
| Shops and establishments | Under the state law for the place of business |
| Udyam (MSME) | Optional, useful for government benefits and protection on delayed payments |
| Import Export Code | Before importing or exporting goods or services |
Directors' Duties From Day One
Becoming a director brings legal responsibilities, even in a two-person startup. Directors must act in good faith in the interests of the business, its employees and shareholders, avoid conflicts of interest, and must not take undue advantage of their position.
- Disclose interest in other entities at the first board meeting and every year
- Confirm each year that they are not disqualified from acting as directors
- Keep personal and business funds separate; loans to and from directors follow specific rules
- Approve related party transactions in the manner the law requires
- Complete director KYC every year so that the DIN stays active
Many first-time directors learn about these duties only when a form is rejected or a notice arrives. We brief founders at the first board meeting so that the basics are in place from the start.
Bank Account and Accounting Set-Up
The bank account is opened in the name of the new entity using the Certificate of Incorporation, PAN, a board resolution and the directors' KYC; many banks are linked to the incorporation form so that the account can be opened quickly. From the first transaction, keep the company's money separate from personal funds.
- Use accounting software that keeps an audit trail of changes, as the law requires for companies
- Record the share capital received and any expenses paid by founders before incorporation
- Raise invoices in the registered name with the CIN and GSTIN where applicable
- Keep bills and contracts for every expense; the first statutory audit will ask for them
Registered Office Requirements
Every company and LLP must have a registered office in India where official communication can be received. It must display the name and registration number, and the address appears on letterheads and invoices. Changing the office within the same city needs a board resolution and a filing; moving to another state needs approval and more time, so choose the state carefully at the start. A shared or co-working office can be used if the provider gives a valid agreement and consent.
Records and Registers to Keep
From incorporation, a company must keep statutory registers at its registered office, and an LLP must keep its own books and partner records. These are the first things an auditor, investor or the Registrar asks to see.
- Register of members, with details of each shareholder and their shares
- Register of directors and key managerial personnel, and their shareholdings
- Register of charges, for loans secured on company assets
- Minutes books for board and general meetings, signed within the prescribed time
- Register of contracts in which directors are interested
- Copies of the memorandum, articles and every filing made with the Registrar
Registers can be maintained electronically, provided they are secure and can be produced when asked. We set up the registers at incorporation and update them with each change, so that due diligence by an investor or bank later takes days rather than weeks.
ROC Filing Due Date for Pvt Ltd Company
The ROC filing due date for a pvt ltd company depends on the date of its annual general meeting. A company's first AGM is due within nine months of the end of its first financial year; later AGMs within six months of the year end, normally by 30 September.
| Filing | Due date |
|---|---|
| Financial statements (AOC-4) | Within 30 days of the AGM |
| Annual return (MGT-7 or MGT-7A for small companies and OPCs) | Within 60 days of the AGM |
| Auditor appointment (ADT-1) | Within 15 days of the meeting that appoints the auditor |
| Director KYC (DIR-3 KYC) | Annually, by the date the MCA notifies |
| Return of deposits and exempt loans (DPT-3) | By 30 June each year |
| MSME payments outstanding (MSME-1) | Half-yearly, where applicable |
| LLP annual return (Form 11) and statement of accounts (Form 8) | By 30 May and 30 October |
Missing these dates attracts additional fees that grow every day, and long non-filing can lead to directors being disqualified and the company being struck off.
Choosing a Company Name
- The name must not be identical or too similar to an existing company, LLP or registered trademark
- It should not suggest a connection with the government or use restricted words without approval
- Words such as "Bank", "Insurance", "Stock Exchange" or "Venture Capital" need regulatory approval
- Keep the main part distinctive; adding a generic word to an existing name usually leads to rejection
- Search trademarks before filing – a company name does not give trademark rights
Key Terms Explained
Date of Incorporation Meaning in Hindi and English
The date of incorporation is the date on which the Registrar of Companies registers the company, as shown on the Certificate of Incorporation. From this date the company exists as a legal person. If you are looking for the date of incorporation meaning in Hindi, it is निगमन की तिथि, and the certificate itself is called निगमन प्रमाणपत्र.
| Term | Meaning |
|---|---|
| CIN | Corporate Identity Number, the 21-character number on the Certificate of Incorporation |
| DIN | Director Identification Number, unique to each director |
| DSC | Digital Signature Certificate used to sign MCA forms |
| MoA | Memorandum of Association: the company's name, registered office, objects and capital |
| AoA | Articles of Association: the internal rules for shares, meetings and directors |
| Authorised capital | The maximum share capital the company can issue without amending its memorandum |
| Paid-up capital | The share capital actually issued and paid for |
| Registered office | The official address for all communication from the Registrar |

- Name search against existing entities and trademarks, with two or three options.
- Document list and DSC applications for every director or partner.

Startup India Recognition and Other Benefits
A newly registered private limited company or LLP working on innovation or a scalable business model can apply for recognition by the Department for Promotion of Industry and Internal Trade (DPIIT) under Startup India. Recognition can open access to certain tax benefits, easier compliance under some labour and environmental laws, faster patent examination and government procurement opportunities. Recognition is a separate application made after incorporation, with its own eligibility conditions on age and turnover.
Changing Things After Incorporation
A business rarely stays exactly as it was registered. Each change has its own resolution and filing with the Registrar, usually within 30 days.
- Appointing or removing directors, and changes in designated partners of an LLP
- Increasing authorised capital and allotting new shares to investors or employees
- Transferring shares between shareholders
- Changing the name, the registered office or the main objects
- Converting an OPC to a private company, or a private company to a public one
- Admitting or retiring partners in an LLP, with an updated agreement
Planning these changes alongside your funding and hiring timeline avoids last-minute filings when an investor is waiting.
How Long It Takes: Indicative Timeline
| Stage | Indicative time | What decides it |
|---|---|---|
| DSCs | One to three days | Video verification and documents of each director |
| Name reservation | A few working days | Name availability and objections |
| Drafting and filing SPICe+ or FiLLiP | Two to five days | Readiness of documents and office proof |
| Approval and certificate | A few working days to two weeks | Central Registration Centre processing and any resubmission |
| Post-incorporation set-up | Up to 180 days | Bank account, capital, auditor and registers |
What Decides the Cost of Company Registration
We do not publish fees. Our team shares the exact total after reviewing your requirements. The total depends on:
- Type of entity: private limited, OPC, Section 8 or LLP
- Number of directors, shareholders or partners and DSCs needed
- Authorised capital, which decides government fees and stamp duty in your state
- Foreign directors or shareholders and document legalisation
- Drafting needs: standard or customised articles, shareholder or LLP agreements
- Post-incorporation work included
Government fees and stamp duty are paid at actuals, shown separately, and are not part of our professional fees.
Three Typical Situations
Two Engineers Starting a SaaS Business
Two founders planned to raise seed funding within a year. A private limited company was the clear choice. The work included name checks against trademarks, a capital structure with room for an ESOP pool, articles that suited future investors, and setting up the bank account, GST and the first-year compliance calendar.
Three Architects Forming a Practice
Three architects wanted limited liability without the compliance of a company and had no plans for outside investors. An LLP with a carefully drafted agreement – capital, profit share, admission and exit of partners – fitted their needs.
A Family Foundation for Education
A family wanted to fund scholarships and a learning centre and expected corporate donors. A Section 8 company gave them a governance structure donors recognise. After incorporation, the income-tax registrations for exemption and donor deductions were applied for.
Common Company Registration Mistakes
- Choosing an LLP and later needing investors who only invest in companies
- Picking a name without a trademark search
- Using a residential address without the owner's consent and utility proof
- Setting authorised capital too low for the next funding round
- Not depositing share capital and missing the commencement of business declaration
- Not appointing the first auditor within 30 days
- Using a downloaded LLP agreement that does not fit the partners
- Forgetting director KYC and the first annual filings
Special Cases
Foreign Directors and Foreign Investment
Foreign nationals can be directors and shareholders, subject to visa, document legalisation and the foreign investment rules for the sector. Investment from abroad must be reported under FEMA, and share pricing must follow the pricing guidelines.
Converting a Partnership or Proprietorship
An existing business can move into a new company or LLP, or a partnership firm can convert into an LLP. Tax-neutral conversion needs specific conditions to be met; we plan this before the move.
OPC Conversion
A one person company can convert into a private limited company voluntarily once it adds members and directors, which most growing single-founder businesses eventually do.
Closing a Company
If a company did not start business or has stopped, it can be closed through the strike-off process after clearing filings and liabilities.
What Our Company Registration Service Does Not Do
- We are not the MCA or the Registrar of Companies and cannot guarantee that a name or application will be approved
- We do not register trademarks as part of incorporation; trademark filing is a separate service
- We do not give legal opinions on shareholder disputes; we work with advocates for those
- We do not create companies for nominee or dummy directors
- We do not register entities whose purpose we cannot understand or verify
When You May Not Need Us
If you are a single person starting a small trading or service business with no plans for investors, a sole proprietorship with GST registration (if required) and a current account may be all you need for now; it can move into a company later, once the business, the team or the funding plan needs it. And if two friends want a simple business between them, a registered partnership may be enough at the start. Come to us when you need limited liability, investors, ESOPs, foreign shareholders or a non-profit company.
Questions to Agree With Your Co-Founders First
- Who holds how many shares, and will shares vest over time?
- Who will be directors, and who signs for the company?
- How much capital will each founder bring, and when?
- Will there be an ESOP pool, and of what size?
- What happens if a founder leaves?
- Where will the registered office be, and who owns that property?
Confidentiality
Incorporation needs identity documents, addresses and business plans for every founder. As chartered accountants we follow ICAI's confidentiality rules. Documents are used only for the filings, shared only with the team handling them, and stored securely. Identity documents of foreign directors and investors are handled with the same care, and copies are not shared with banks, landlords or other service providers without your written consent.

Online Company Registration and LLP Registration by Chartered Accountants
IMAK Advisory is an ICAI-registered firm of chartered accountants in Whitefield, Bengaluru, handling company registration for founders, families and foreign investors across India. Online company registration for a private limited company or one person company is filed through SPICe+ on the MCA portal, and an LLP through FiLLiP; the Certificate of Incorporation arrives with the CIN, and for companies with PAN and TAN as well.
A pvt ltd company suits businesses that plan to raise equity, issue ESOPs or grow quickly, while an LLP suits partner-funded firms that want lighter compliance – the LLP vs pvt ltd company choice is best made with your three-to-five-year plan in mind. For charitable and non-profit work, Section 8 company registration gives a governance structure that donors and corporate partners recognise, with income-tax registrations applied for after incorporation.
The ROC company registration process is handled by the Central Registration Centre for the Registrar of Companies of your state. Preparation decides the speed: a distinctive name checked against trademarks, a registered office with proper proof, DSCs for every director, and agreement among founders on shareholding before filing.
Compliance starts on day one. The first auditor is appointed within 30 days, share certificates are issued within 60 days, and the declaration of commencement of business is filed within 180 days. After that, the ROC filing due date for pvt ltd company returns depends on the AGM: financial statements within 30 days and the annual return within 60 days of the meeting.
Good set-up also covers the practical side: a bank account opened in the new entity's name, accounting software that keeps an audit trail, invoices that carry the registered name and numbers, and registrations such as GST, provident fund, employee insurance and professional tax as the business grows. Directors take on legal duties from the first day – declaring their interests, keeping personal and business funds apart and completing their annual KYC – and a short briefing at the first board meeting saves trouble later.
Founders often ask about terms in their own language. The date of incorporation meaning in Hindi is निगमन की तिथि, the date shown on the certificate; and pvt ltd in Kannada is commonly written ಪ್ರೈವೇಟ್ ಲಿಮಿಟೆಡ್ ಕಂಪನಿ. The registered name always remains in English, ending in "Private Limited".
Later changes – new directors, more capital, new investors, a change of name or office – each need their own resolution and filing, usually within 30 days, so they are easiest when planned alongside funding and hiring.
IMAK Advisory is an independent firm and is not connected with other providers such as Enterslice Pvt Ltd or SuperCFO Services Pvt Ltd; please contact them directly if you are looking for their services.
We do not publish fees; government fees and stamp duty are paid at actuals, and our team shares the exact total after reviewing your requirements.
